Organizational Model 231 and Code of Etics
We base all our activities on the principles of legality, transparency, and integrity. The 231 Organizational Model and the Code of Ethics establish the framework that guides our operations and day-to-day conduct across the organization.
Organizational Model Law D. 231/01
IMESA has adopted an Organization, Management and Control Model pursuant to Italian Legislative Decree 231/2001, as a tool for the active prevention of offenses and for promoting fairness, transparency, and regulatory compliance within its business activities.
The Model defines a structured system of organizational principles, procedures, and internal controls aimed at identifying risk areas and preventing the commission of potential offenses.
Compliance with the provisions set out in the Model is required of all company personnel, with particular reference to senior management. The adoption, updating, and monitoring of the Model’s effectiveness are entrusted to specific supervisory bodies, which oversee its implementation within the organization.
*Legislative Decree 231/2001 regulates the administrative responsibility of companies for offenses committed by top managers or by employees or collaborators in the interest or for the benefit of the company itself.
Code of Ethics
The IMESA Code of Ethics defines the guiding principles and values that govern the company’s activities and its relationships with all stakeholders, including employees, collaborators, directors, customers, and suppliers.
It sets out the rules of conduct that must be followed by all individuals operating with the company, promoting integrity, fairness, transparency, and compliance with applicable regulations.
Adherence to the Code of Ethics is an integral part of the company’s governance system and serves as a fundamental reference for guiding both individual and collective behaviour.
Supervisory Board
As required by Legislative Decree 231, the company has set up a special Supervisory Body that has the task of verifying compliance with the Organizational Model and reporting to the Board of Directors all the information regarding updates and / or changes as well as any situations of non-compliance with the provisions of Model itself, by the Code of Ethics and by the relevant legislation.
